Unless otherwise stated, Passage Technology's pricing do not include any direct or indirect local, state, federal or foreign taxes, levies, duties or similar governmental assessments of any nature, including value-added, use or withholding taxes (collectively, “Taxes”). Purchaser is responsible for paying all Taxes associated with its purchases of products and services, excluding taxes based on Passage Technology's net income or property. If Passage Technology has the legal obligation to pay or collect Taxes for which Purchaser is responsible, the appropriate amount shall be invoiced to and paid by Purchaser, unless Purchaser provides Passage Technology with a valid tax exemption certificate authorized by the appropriate taxing authority.
